General terms
These Terms govern access to and use of legal advisory and related services provided by Talorin to real estate agents and related professionals. By using our services you accept these Terms. Services are provided in accordance with Singapore law and professional conduct rules applicable to legal advisory services. Talorin acts as a provider of legal support and does not act as an estate agent unless separately engaged under a written agreement.

Eligibility to use services
Services are intended for professional clients such as licensed real estate agents, property managers, developers, and corporate entities operating in Singapore. Use by individuals or entities outside this scope may be subject to additional verification and restrictions.
You must be at least 18 years old and legally capable of entering into binding agreements in Singapore to engage Talorin's services.
You agree to use Talorin's services only for lawful purposes and in compliance with applicable regulations governing property transactions, anti-funds laundering requirements, and professional conduct obligations.
Talorin provides services from Singapore and tailors advice to Singapore law. If you are located outside Singapore, local legal or regulatory requirements may apply; clients remain responsible for ensuring compliance with laws in their jurisdiction.
Account responsibilities
To access certain services you may be required to register and maintain an account. You are responsible for maintaining accurate account information and for all activity under your account.
You must provide complete and accurate information when registering. Incorrect information may impede service delivery and compliance checks. Notify us promptly of any changes to your contact or business details.
Protect your login credentials and authorize only trusted personnel to access your account. Notify Talorin immediately if you suspect unauthorized access so we can take mitigation steps.
Accounts are personal to the registered user and may not be transferred, assigned, or used by third parties without Talorin’s written consent.
If you believe your account has been compromised, contact Talorin immediately. We will contribute and take reasonable steps to secure your account and limit further unauthorized activity.
Talorin may suspend or terminate accounts that violate these Terms, pose security risks, or engage in fraudulent or illegal activity, subject to any applicable notice or remediation opportunities where required.
Scope of services
Talorin offers legal advisory services tailored to the needs of real estate agents in Singapore, including contract review, drafting of sale and purchase agreements, lease documentation, due diligence guidance, regulatory compliance advice, and dispute avoidance strategies. Scope of each engagement is set out in the engagement letter or service agreement.
We may modify, add, or discontinue features or services. Where changes materially affect an existing engagement, we will notify affected clients and agree any necessary adjustments in writing.
Talorin makes commercially reasonable efforts to provide continuous access to services, but availability may be affected by scheduled maintenance, system updates, or disruptions outside our control.
User conduct rules
Users must act professionally and in good faith when interacting with Talorin services and personnel. Prohibited conduct includes:
- Submitting fraudulent documents or false information for the purpose of obtaining services.
- Using the service to facilitate illegal activity, including funds laundering or fraud.
- Attempting to access other users' accounts or Talorin’s internal systems without authorization.
- Harassment, threats, or abusive behaviour toward Talorin staff or other users.
- Interfering with normal operations of the service through spam, denial-of-service attacks, or other disruptive actions.
- Circumventing any technical or contractual restrictions implemented by Talorin.
- Misrepresenting professional qualifications, licences or affiliations in connection with use of our services.
User-provided content
Clients may provide documents, data, or other materials necessary for Talorin to perform legal services. You retain responsibility for the accuracy and legality of such materials.
You retain ownership of materials you submit, subject to any third-party rights. By submitting materials you represent that you have authority to provide them and that they do not infringe third-party rights.
By providing materials to Talorin, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and store the materials for the purpose of delivering the requested services and for quality assurance and compliance.
Clients are responsible for verifying the completeness and accuracy of all documents submitted. Talorin will identify material issues and provide legal advice, but final decisions and representations remain the client’s responsibility.
If you request removal of content you provided, we will consider requests consistent with legal and contractual obligations. Certain records may be retained to comply with professional conduct rules and regulatory requirements.
Intellectual property
All Talorin activity, service marks, logos, and proprietary materials are the intellectual property of Talorin or its licensors. Use of Talorin intellectual property is permitted only with prior written consent.
- Do not reproduce, distribute, or create derivative works from Talorin proprietary content without authorization.
- Commercial use of Talorin materials is prohibited unless expressly licensed.
- Respect third-party intellectual property rights and provide attribution where required by licence.
Paid services and fees
Certain advisory services, document drafting, and subscription offerings are provided for a fee. Fees and billing terms are set out in engagement letters, pricing schedules, or subscription terms.
Pricing for services is determined based on scope, complexity, and resource allocation. Quotes are valid for the period specified and are exclusive of taxes and disbursements unless stated.
Payments are accepted by the methods specified in the invoice or engagement agreement. Invoices are payable within the agreed timeframe. Late payments may incur interest and collection costs as permitted by law.
Subscription services are billed on the recurring schedule set out in the subscription agreement. Subscription renewals continue until cancelled in accordance with the cancellation terms.
Refunds are assessed on a case-by-case basis and depend on the nature of the service delivered and time expended. Any refund policy applicable to a specific service will be set out in the engagement or subscription terms.
Clients may cancel services as provided in their engagement agreement. Cancellation may be subject to notice periods and payment for work performed up to the cancellation date.
Taxes, duties, and government charges related to services are the responsibility of the client unless otherwise indicated. Talorin will itemize applicable taxes on invoices where required.
Talorin may adjust prices to reflect changes in market conditions, regulatory costs, or service scope. Advance notice will be provided for material changes affecting existing subscriptions.
Non-payment may result in suspension of services and recovery actions. Talorin may require prepayment or security for clients with a history of late payment or where engagement requires significant upfront work.
Professional disclaimer
Information provided by Talorin is for the specific engagement and factual circumstances disclosed. Advice is based on Singapore law and the facts available at the time. Nothing in communications should be construed as a substitute for independent legal advice specific to an alternate jurisdiction or materially different facts.
Liability limitation
Except where prohibited by law, Talorin’s aggregate liability for claims related to the services shall be limited to the fees paid by the client for the specific service giving rise to the claim during the preceding 12 months. Talorin is not liable for indirect, consequential, or punitive damages.
Third-party services and referrals
Where Talorin recommends or engages third-party service providers (for example surveyors, notaries, or escrow agents), such referrals are made for convenience. Talorin does not control third-party services and is not responsible for their acts or omissions unless expressly agreed in writing.
Termination
Either party may terminate an engagement as provided in the engagement letter. Talorin may suspend or terminate services if fees are unpaid or if a client’s conduct undermines the provision of services.
On termination, clients remain responsible for fees and expenses incurred up to the termination date. Talorin will deliver work product completed to the extent permitted and retain copies as required by professional obligations.
Privacy and data protection
Talorin handles personal data in accordance with our Privacy Policy and applicable Singapore data protection laws. By engaging our services you consent to the collection, use, and retention of data necessary for service delivery, billing, and compliance.
Communications and notice
Notices under these Terms should be sent to the contact details specified in the engagement letter or to Talorin at 16 Mornington Crescent, Singapore 798649, or via the corporate email address. Electronic communications are treated as received when transmitted.
Changes to these terms
Talorin may update these Terms to reflect legal or operational changes. Material updates affecting existing engagements will be communicated and, where necessary, the parties will agree on any consequential adjustments.
Governing law
These Terms are governed by and construed in accordance with the laws of Singapore. Parties submit to the exclusive jurisdiction of Singapore courts for disputes that cannot be resolved by alternative dispute resolution.
Dispute resolution
We encourage early discussion to resolve any issues. If a dispute cannot be resolved amicably, the parties may agree to mediation or arbitration before pursuing litigation. Specific dispute resolution procedures will be set out in the engagement letter where applicable.
